1 Acceptance of Terms

By accessing, browsing, or submitting information on this website or using our Services, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please discontinue using our Services immediately.

These Terms apply to all visitors, users, and others who access or use the Services. Users accessing on behalf of an organisation confirm they have the authority to bind that organisation to these Terms.

Sarthi DMS provides an enterprise-grade Document Management System (DMS) offering:

• AI-powered document digitisation, OCR, and intelligent search
• Secure document storage, versioning, and access control
• Workflow automation and approval management
• Digital signature and e-sign integration
• Compliance management for regulatory frameworks
• Analytics, audit trails, and reporting dashboards
• On-premise, cloud, and hybrid deployment options

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with prior notice wherever feasible.

3 User Accounts and Demo Access

When you request demo access or create a user account, you agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of your login credentials
• Notify us immediately of any unauthorised access to your account
• Use demo access only for evaluation purposes
• Not share demo credentials with third parties

Demo accounts are granted at our discretion and may be revoked at any time. Demo data is for illustrative purposes only and does not represent real operational data.

4 Acceptable Use Policy

You must not use the Services for any purpose that is unlawful, harmful, or contrary to these Terms. Specifically, you agree not to:

• Upload, store, or transmit malicious code, viruses, or malware
• Attempt to gain unauthorised access to any part of our systems or other users' data
• Use the Services to store, share, or distribute content that is illegal under Indian law
• Reverse engineer, decompile, or disassemble any part of our software
• Use automated systems, bots, or scripts to access the Services in a manner that imposes excessive load
• Impersonate another person or organisation
• Use the Services to infringe upon any intellectual property rights
• Violate any applicable local, state, national, or international law

We reserve the right to terminate access immediately for violations of this Acceptable Use Policy.

5 Intellectual Property Rights

All content, software, technology, trademarks, trade names, logos, and materials on this website and within the Services are the exclusive property of Deccan India Development Corporation Private Limited or its licensors and are protected by Indian and international intellectual property laws.

This includes but is not limited to:

• The Sarthi DMS platform, algorithms, and AI models
• All website content, design, and graphics
• Proprietary OCR engine and document processing technology
• API specifications and integration documentation

Nothing in these Terms grants you any right, title, or interest in our intellectual property other than a limited licence to use the Services as described herein.

6 Payment and Subscription Terms

For paid subscriptions and enterprise agreements:

• Pricing is as agreed in the formal Service Level Agreement (SLA) or purchase order
• Invoices are payable within 30 days unless otherwise agreed in writing
• Taxes, including GST applicable under Indian law, will be added to invoices where applicable
• Subscription fees are non-refundable except where required by law or as agreed in the SLA
• Annual subscriptions may be cancelled with 30 days' written notice before the renewal date

7 Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information, technical specifications, business data, or client data (collectively "Confidential Information") exchanged during the use of Services. Neither party shall disclose Confidential Information to third parties without prior written consent, except where required by law.

8 Disclaimer of Warranties

9 Limitation of Liability

To the maximum extent permitted by applicable Indian law, Deccan India Development Corporation Private Limited shall not be liable for:

• Any indirect, incidental, consequential, punitive, or special damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages arising from unauthorised access to or alteration of your data
• Damages arising from third-party services, integrations, or products

Our total aggregate liability to you for any claim arising under these Terms shall not exceed the total fees paid by you for the Services in the 12 months preceding the claim.

10 Indemnification

You agree to indemnify, defend, and hold harmless Sarthi DMS, its directors, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including legal fees) arising out of or related to your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

11 Termination

Either party may terminate the agreement:

• With 30 days' written notice to the other party
• Immediately in the event of material breach that is not remedied within 14 days of written notice
• Immediately if the other party becomes insolvent, goes into liquidation, or makes an assignment for the benefit of creditors

Upon termination, your right to use the Services ceases immediately. We will provide data export facilities for 30 days post-termination upon request.

12 Governing Law and Jurisdiction

13 Amendments

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the website at least 15 days before taking effect. Your continued use of the Services after the effective date constitutes acceptance of the amended Terms.

14 Miscellaneous

• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Entire Agreement: These Terms, together with any executed SLA or subscription agreement, constitute the entire agreement between you and Sarthi DMS regarding the Services.
• Force Majeure: Neither party shall be liable for failure to perform due to causes beyond their reasonable control, including natural disasters, government actions, or internet infrastructure failures.
